Company creation (EOOD/OOD)
The Limited Liability Company, known in Bulgaria by its abbreviation OOD, is formed by limitedly liable shareholders. All shareholders bear the liability for the company’s obligations only to the extent of their deposited amounts. The minimum authorized capital represents the amount deposited by the shareholders. The name of the company shall contain the abbreviation “OOD”. The entity is governed by the General Meeting of Shareholders and managed by a Manager or Director.
Sole Proprietorship Limited Liability Company or Single-member Limited Liability Company (corresponding to the Bulgarian abbreviation EOOD) is another kind of Limited Liability Company, that is recognized by the Bulgarian law. The EOOD has a sole owner of the authorised capital who resolves on any issue connected to the company. Foreign investors usually find this kind of company the best option for their direct investments in Bulgaria.
Required documentation
The documents required for performing this service are as follows:
- Valid international or domestic passport, or national ID card of each of the directors (and shareholder, provided those are different individuals)
- Notary certified specimen signature of each director
- If the company’s shareholder shall be a foreign legal entity, you shall need a document proving the existence of the said legal entity

Notary certifications can be carried out in every Bulgarian consulate, or if there is no Bulgarian consulate at your location, the notary certification may be carried out by any foreign notary.
